Terms & Conditions

The terms that govern your use of QuickBite as a customer, vendor or rider.

These Terms & Conditions ("Terms") govern your access to and use of the QuickBite mobile applications, websites, and related services (collectively, the "Platform") operated by [LEGAL ENTITY NAME] (RC [RC NUMBER]), a company incorporated in Nigeria with its registered office at [REGISTERED ADDRESS] ("QuickBite", "we", "us", or "our").

Please read these Terms carefully. By accessing or using the Platform, you agree to be bound by them.


1. Acceptance & Eligibility

1.1. By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

1.2. If you do not agree with these Terms, you must not access or use the Platform.

1.3. Minimum age. You must be at least 18 years old to place orders, hold an account, or transact on the Platform. Persons aged 13 to 17 may use the Platform only under the supervision and with the express consent of a parent or legal guardian who agrees to be bound by these Terms on their behalf. The Platform is not directed at children under 13.

1.4. Capacity. You represent that you have the legal capacity to enter into a binding contract under Nigerian law and that you are not barred from using the Platform under any applicable law.

1.5. You are responsible for ensuring that your use of the Platform complies with all laws applicable to you.


2. Account Registration

2.1. Accurate information. You agree to provide true, current, and complete information during registration (including a valid Nigerian phone number) and to keep it updated.

2.2. Credential responsibility. You are responsible for safeguarding your account credentials and one-time passwords (OTPs), and for all activity that occurs under your account. Notify us immediately at [SUPPORT EMAIL] of any unauthorised use.

2.3. One account per user. Each user may maintain only one personal account unless we expressly authorise otherwise. Creating multiple or fraudulent accounts is prohibited.

2.4. Suspension/termination. We may suspend, restrict, or terminate your account at our discretion, with or without notice, where we reasonably believe you have breached these Terms, engaged in fraud or abuse, or where required by law.


3. Service Description

3.1. Marketplace intermediary. QuickBite operates an online marketplace that connects three independent parties: (a) customers who order food and other items; (b) vendors (restaurants, food businesses, and home kitchens) who list, prepare, and sell those items; and (c) delivery riders who fulfil deliveries.

3.2. We do not prepare food. QuickBite does not cook, prepare, handle, or package any food or product sold on the Platform. The vendor is solely responsible for the preparation, quality, safety, packaging, hygiene, ingredients, and accurate description of the items it sells.

3.3. Allergens and dietary needs. QuickBite does not verify allergen information, nutritional content, or preparation conditions. If you have allergies or dietary restrictions, you must confirm suitability directly with the vendor before ordering. You assume the risk of consuming items ordered through the Platform to the extent permitted by law.

3.4. Two-tier delivery model. Deliveries may be completed by app-enabled riders or by non-app riders coordinated through QuickBite dispatchers. Order status updates may be entered on a rider's behalf by a dispatcher.

3.5. Availability. Listings, vendors, menus, and delivery coverage areas may change or become unavailable at any time without notice.


4. Orders & Pricing

4.1. Placing an order. When you place an order, you make an offer to purchase the selected items from the relevant vendor through the Platform. An order is confirmed only when the vendor accepts it and you receive confirmation through the Platform.

4.2. Multi-vendor orders. A single order may contain items from multiple vendors. Such an order is split into independent sub-orders (one per vendor), each fulfilled and tracked separately.

4.3. Pricing. Prices are set by vendors and displayed in Nigerian Naira (NGN/₦). Your total may include:

  • the price of the items;
  • a delivery fee;
  • a service fee; and
  • Value Added Tax (VAT) at 7.5% and any other applicable taxes or levies.

All applicable fees and taxes are shown at checkout before you confirm payment.

4.4. Price changes. We and our vendors reserve the right to change prices, fees, and menu availability at any time. The price applicable to your order is the price displayed at the time you confirm and pay for it.

4.5. Order rejection. Vendors and QuickBite may decline or cancel an order (including after payment) for reasons such as item unavailability, suspected fraud, error in pricing or listing, inability to deliver to your location, or vendor capacity. Where an accepted and paid order is rejected, you are entitled to a refund in accordance with Section 6.


5. Payments

5.1. Accepted methods. Payments may be made via the methods made available on the Platform, which may include debit card, bank transfer, USSD, and wallet balance.

5.2. Third-party processor. Payments are processed by independent third-party payment processors (e.g., Paystack and/or Flutterwave). Your use of those services is subject to the processor's own terms and privacy notices.

5.3. No storage of raw card data. QuickBite does not store your raw card details. Card data is tokenized and handled by PCI-DSS-compliant payment processors.

5.4. Authorization. By submitting payment, you authorise the charge of the full order total (items, fees, and taxes) to your selected payment method.

5.5. Currency. All transactions are denominated and settled in Nigerian Naira (NGN).

5.6. Failed payments. If a payment fails or is reversed, your order may not be created or may be cancelled, and you will be returned to checkout with an error message.

5.7. Chargebacks. Initiating a chargeback or payment dispute without first contacting QuickBite support may be treated as a breach of these Terms. We reserve the right to contest illegitimate chargebacks and to suspend accounts engaged in chargeback abuse.


6. Cancellations & Refunds

6.1. Customer cancellation. You may cancel an order free of charge before the vendor accepts it (typically within [CANCELLATION WINDOW, e.g., 60 seconds] of placing it). Once a vendor has accepted an order and begun preparation, it generally cannot be cancelled by you.

6.2. Refund eligibility — full refund. You are eligible for a full refund where:

  • the vendor or QuickBite cancels a confirmed and paid order before delivery;
  • the order is not delivered;
  • the wrong order is delivered; or
  • the order arrives materially damaged, spoiled, or substantially different from what was ordered, and is reported with reasonable evidence within [REFUND REPORTING WINDOW, e.g., 24 hours].

6.3. Partial refund. A partial refund may be granted where only part of an order is missing, incorrect, or unsatisfactory, proportionate to the affected items.

6.4. Non-refundable scenarios. Refunds will generally not be granted where:

  • the order was correctly prepared and delivered as described;
  • delivery failed because you provided an incorrect address, were unreachable, or were unavailable to receive the order (see Section 7);
  • you cancelled after the vendor began preparation; or
  • the complaint is made outside the applicable reporting window or without reasonable supporting evidence.

6.5. Refund method and timing. Approved refunds are issued to your original payment method or QuickBite wallet, typically within [REFUND PROCESSING TIME, e.g., 5–14 business days], subject to processor timelines.

6.6. QuickBite may mediate disputes between customers and vendors but is not obliged to provide a refund where the responsibility lies with the vendor and the vendor declines, except as required by law.


7. Delivery

7.1. Estimated, not guaranteed. Delivery times shown on the Platform are estimates only and are not guaranteed. Times may be affected by traffic, weather, vendor preparation time, rider availability, and other factors.

7.2. Address accuracy. You are responsible for providing a complete and accurate delivery address and contact details, and for being available to receive the order.

7.3. Unreachable customer / failed delivery. If a rider cannot reach you (e.g., you do not answer calls, are not at the address, or refuse delivery) after reasonable attempts, the order may be treated as delivered or cancelled at our discretion, and you may not be entitled to a refund.

7.4. Risk allocation. Risk in the items passes to you upon delivery to you or to a person/location you designate (including leaving an order at your door if you so instruct).

7.5. Inspection. Where possible, please inspect your order on receipt and report any issues promptly through the Platform.


8. User Conduct

8.1. You agree not to:

  • place fake, fraudulent, or speculative orders;
  • use the Platform for any unlawful, harmful, or fraudulent purpose;
  • harass, threaten, defraud, or abuse vendors, riders, dispatchers, or QuickBite staff;
  • impersonate any person or misrepresent your affiliation;
  • interfere with, disrupt, scrape, reverse-engineer, or attempt to gain unauthorised access to the Platform;
  • use stolen or unauthorised payment instruments; or
  • misuse promotional codes, referrals, or wallet credits.

8.2. Breach of this Section may result in immediate suspension or termination, forfeiture of wallet balances obtained through abuse, and referral to law-enforcement or regulatory authorities.


9. Vendor & Rider Terms

These provisions apply in addition to any separate vendor or rider agreement you enter with QuickBite.

9.1. Vendors

9.1.1. Onboarding & verification. Vendors must complete onboarding and identity/business verification (KYC), which may include submission of a valid government-issued ID, National Identification Number (NIN), Bank Verification Number (BVN), and settlement bank account details. Verification may be performed by third-party providers.

9.1.2. Listings & quality standards. Vendors are responsible for accurate menus, pricing, availability, food safety, hygiene, packaging, and compliance with all applicable food, health, and consumer-protection laws.

9.1.3. Commission. QuickBite charges a commission of [COMMISSION RATE, e.g., __%] on the value of orders fulfilled through the Platform, plus applicable taxes. Commission rates may be amended on notice.

9.1.4. Payouts / settlement. Vendor earnings, net of commission, fees, refunds, and chargebacks, are settled to the vendor's verified bank account on the schedule of [PAYOUT SCHEDULE, e.g., weekly / T+__ days] via the applicable payout provider.

9.1.5. Suspension. QuickBite may delist products, suspend, or remove vendors who fail to meet quality standards, generate excessive complaints, or breach these Terms.

9.2. Riders

9.2.1. Independent contractors. Delivery riders (and dispatch partners) are independent contractors, not employees, agents, or partners of QuickBite. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship.

9.2.2. Obligations. Riders must deliver orders promptly, professionally, and in compliance with applicable traffic and safety laws, and must hold any licences/permits required for their activity.

9.2.3. Earnings & payouts. Rider earnings are calculated and paid in accordance with the applicable rider terms and payout schedule.

9.2.4. Non-app riders. Non-app riders are coordinated by dispatchers; order status updates may be recorded on their behalf, with an audit trail maintained.


10. Liability & Disclaimers

10.1. "As is". The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

10.2. No warranty on food. QuickBite makes no warranty regarding the safety, quality, fitness, allergen content, or legality of any item sold by a vendor. Responsibility for food safety and allergens rests with the vendor.

10.3. Limitation of liability. To the maximum extent permitted by Nigerian law, QuickBite, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Where liability cannot be excluded, our total aggregate liability to you for any claim arising out of or relating to an order or the Platform shall not exceed the greater of (a) the total amount you paid for the order giving rise to the claim, or (b) NGN [CAP AMOUNT, e.g., 50,000].

10.4. Third parties. QuickBite is not liable for the acts or omissions of vendors, riders, payment processors, or other third parties.

10.5. Force majeure. QuickBite is not liable for any failure or delay caused by events beyond our reasonable control, including acts of God, natural disasters, epidemics/pandemics, strikes, civil unrest, government action, power or network failures, or fuel shortages.

10.6. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Nigerian law (including for death or personal injury caused by negligence, or for fraud).


11. Indemnification

11.1. You agree to indemnify, defend, and hold harmless QuickBite, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your misuse of the Platform; (b) your breach of these Terms or any applicable law; (c) your violation of the rights of any third party; or (d) content or information you submit.


12. Intellectual Property

12.1. The Platform and all associated software, source code, designs, text, graphics, logos, the "QuickBite" name and marks, and other content (excluding vendor- and user-submitted content) are owned by or licensed to QuickBite and protected by intellectual-property laws.

12.2. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended personal, non-commercial purpose, subject to these Terms.

12.3. You may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Platform without our prior written consent.

12.4. By submitting content (e.g., reviews, photos), you grant QuickBite a non-exclusive, royalty-free, worldwide licence to use, display, and reproduce that content in connection with operating and promoting the Platform.


13. Dispute Resolution & Governing Law

13.1. Governing law. These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

13.2. Complaint escalation. Before commencing any formal proceedings, you agree to first contact us at [SUPPORT EMAIL] and allow us a reasonable period (at least [ESCALATION PERIOD, e.g., 14 days]) to resolve the matter amicably.

13.3. Arbitration / courts. Any dispute that is not resolved amicably shall be [OPTION A: referred to and finally resolved by arbitration in Lagos under the Arbitration and Mediation Act 2023, before a sole arbitrator appointed by [ARBITRATION BODY, e.g., the Lagos Court of Arbitration], with proceedings conducted in English] / [OPTION B: subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria]. 13.4. Notwithstanding the above, QuickBite may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.


14. Amendments & Termination

14.1. Amendments. We may modify these Terms at any time. We will post the updated Terms on the Platform and update the "Last Updated" date. Material changes will be notified through the Platform, email, or SMS where appropriate. Your continued use after changes take effect constitutes acceptance.

14.2. Termination by you. You may stop using the Platform and request account closure at any time by contacting [SUPPORT EMAIL].

14.3. Termination by us. We may suspend or terminate your access at any time for breach of these Terms, suspected fraud, legal requirement, or discontinuation of the service.

14.4. Survival. Sections relating to payments owed, liability, indemnification, intellectual property, dispute resolution, and any provision that by its nature should survive, will survive termination.
